In a Major Strategic Shift, the Dutch Dairy Giant Divests its Operations to Bonafarm Group, Signaling a Focus on Core European Markets.

In a significant corporate maneuver within the European agribusiness sector, Royal FrieslandCampina N.V. has agreed to sell its Romanian operations to the Hungarian-based Bonafarm Group. The deal includes the popular and long-standing local dairy brand Napolact, along with two key production facilities located in Cluj-Napoca and Târgu Mureș. This transaction marks a strategic realignment for the Dutch dairy cooperative, which aims to streamline its European portfolio and focus on markets that offer greater synergy with its core operations.

According to a statement from FrieslandCampina Europe President Dustin Woodward, the decision to divest was a direct result of a strategic review. The Romanian business, despite being a leading brand in the local market, offered “limited synergies” with the company’s wider European portfolio. A key driver of this move, a point of crucial data journalism for analysts, is the company’s focus on maximizing the value of milk from its member farmers, a requirement that the Romanian operations did not meet. This divestment allows FrieslandCampina to reallocate its resources more effectively.

For the Bonafarm Group, the acquisition is a strategic play for regional expansion. CEO Attila Csányi stated that dairy processing is a core business area for the company, and they see great potential to further grow the Napolact brand. The group has committed to investing in the facilities to increase production capacity and plans to leverage the local market knowledge of the existing team of approximately 400 employees. This move signals a strong commitment to developing and strengthening the Romanian dairy economics landscape under new regional ownership.

The transaction is currently a non-binding agreement and is subject to customary regulatory approvals, including clearance from the Romanian Competition Council. Both companies are working to ensure a smooth transition for all stakeholders, with the deal expected to be officially completed by the end of December 2025. While the financial terms of the agreement were not officially disclosed, reports suggest the deal is worth between 60 and 70 million euros, underscoring its importance to both companies’ long-term strategies.

This sale is a clear indicator of the ongoing trend of consolidation and strategic repositioning in the global dairy community. It demonstrates that even successful local brands can be divested if they do not align with a multinational’s overarching strategic vision. At the same time, it provides an opportunity for a regional player like Bonafarm to grow its footprint and invest in a well-established brand, showcasing the dynamic nature of corporate strategy in the international agribusiness sector.
