Strategic acquisitions of Huel, Yfood, and Protein Works by Danone, Nestlé, and Lactalis signal a fundamental shift from bulk processing to high-margin functional nutrition.

The global dairy processing sector is undergoing a major structural realignment, marked by a wave of high-profile acquisitions in the “complete nutrition” and “smart food” segments. Within a four-month window, industry giants Danone, Nestlé, and Lactalis executed consecutive transactions to acquire Huel, Yfood, and Protein Works, respectively. This rapid consolidation reflects a broader effort by dairy multinationals to capture high-margin, shelf-stable portfolios. Traditionally focused on fluid milk and cheese, these corporations are pivoting toward convenient, nutrient-dense formats—such as ready-to-drink (RTD) liquids and powders—that pack essential proteins, fibers, and vitamins into single-meal solutions.

A primary driver behind this investment wave is the rapid commercial rise of GLP-1 receptor agonist weight-loss medications. Patients on these therapeutic regimens experience suppressed appetite, smaller portion tolerances, and reduced interest in high-calorie foods, creating complex dietary demands centered around nutrient density. To avoid muscle mass attrition, these consumers are actively seeking easily digestible, protein-rich alternatives. This shift, supported by clinical trials indicating that meal replacements promote weight loss while preserving metabolic health, has turned active nutrition into a key growth engine. Consequently, the global meal replacement market is projected to reach between $9 billion and $15 billion over the next decade.

For Danone, the acquisition of UK-based Huel serves as a direct remedy for recent performance challenges in its North American division. In fiscal year 2025, Danone experienced its weakest quarterly performance since 2019, hampered by sluggish plant-based alternative sales, logistical hurdles in coffee creamers, and manufacturing capacity limits on its high-protein yogurts. Under the direction of CEO Antoine de Saint-Affrique, the group is utilizing Huel’s brand equity and product formulation expertise to diversify beyond dairy proteins, allowing the company to establish a foothold in plant-based, nutritionally complete categories where it previously held a marginal market presence.

Similarly, Nestlé’s acquisition of Germany’s Yfood aligns with its broader ambition to utilize advanced nutrition as a long-term commercial growth lever. Facing soft consumer sentiment in North America—where its regional portfolio remains heavily weighted toward coffee systems and pet care—Nestlé is using functional nutrition to unlock new revenue streams. Having already launched “Vital Pursuit,” a dedicated product line tailored specifically for GLP-1 patients, Nestlé intends to leverage its global distribution network to scale Yfood’s footprint far beyond its core European markets, capitalizing on the rising demand for convenient clinical and active lifestyle foods.

Lactalis is executing a distinctly different, vertically integrated strategy with its acquisition of Protein Works. Having recently become the second-largest yogurt manufacturer in North America after acquiring General Mills’ regional yogurt assets, the French multinational is utilizing Protein Works to expand its global active nutrition portfolio. Rather than relying solely on traditional grocery retail channels, Lactalis plans to merge its massive industrial dairy supply chain and protein fractionating capabilities with Protein Works’ established Direct-to-Consumer (D2C) digital infrastructure. This hybrid model bypasses retail intermediaries to secure superior margins while facilitating expansion into emerging markets across Europe, the Middle East, and Africa.
